Once signed, it is the signed Order Form that Marketplace License Section 1.5 ranks first, for a one-time purchase that comes with an Order License. Graunt publishes this template and does not publish signed copies.\n\n## Order Details\n\n**Date:** [ ]\n\n**Buyer:** [legal name], a [type of entity] organized under the laws of [jurisdiction] (the **\"Buyer\"**).\n\n**Seller:** [legal name], a [type of entity] organized under the laws of [jurisdiction] (the **\"Seller\"**).\n\n**Listings:** one row for each Listing of the Seller that this Order Form covers.\n\n| Listing | Graunt listing reference |\n|---|---|\n| [title] | [ ] |\n\n## Terms\n\n**1. Scope.** This Order Form applies only to the Buyer's purchase of the Listings above [on or before [date]] (the **\"Purchase\"**). Terms defined in the Marketplace License have the same meanings in this Order Form. Signing this Order Form is the Buyer's acceptance of the Buyer Terms, the Refund Policy and the Order License of the Purchase (Buyer Terms Section 6).\n\n**2. Modified terms.** For the Purchase only, the parties modify the terms they record in the Procurement Schedule below and as follows:\n\n(a) [modified term];\n\n(b) [modified term].\n\n**3. Governing documents.** This Order Form controls only where it so states. In all other respects, the Purchase is governed by the Marketplace License, its Modules and the Enterprise and Video License Addendum, in the versions the Order License of the Purchase records, and by the Listing Terms of each Listing.\n\n**4. Limitations.** This Order Form does not make any license exclusive, change any Permission under Marketplace License Section 3, which the Seller may change for the Buyer only by inviting the Buyer on that answer, or change the price of the Purchase, how it is paid, or Graunt's rights and obligations.\n\n**5. Graunt.** Graunt, Inc. is not a party to this Order Form and has no obligation under it. The Seller will give Graunt a signed copy before the Purchase, and Graunt will identify this Order Form in the Order License of the Purchase.\n\n**6. Confidentiality.** The Buyer and the Seller will keep each signed copy confidential, except as disclosed to their professional advisers, auditors and insurers under a duty of confidentiality or as required by law.\n\n**7. Governing law; counterparts.** Marketplace License Section 16 governs this Order Form and any dispute under it. Naming the Client here is the Buyer's consent to the Seller knowing the Client's identity, which the Seller will keep confidential. The Buyer will also name the Client to Graunt under Marketplace License Section 6(2). [ ] |\n| **Retention and deletion** (Marketplace License Section 10(4)) | A shorter deletion period, the date by which backups expire, and when the Buyer confirms the deletion in writing.
