# Graunt — Terms of Service
**Version:** 1.4 | **Effective:** October 20, 2026 | **Status:** Operational terms. **Governs:** Use of the Graunt marketplace Service by everyone who uses it: people and organizations with an account, the agents acting for them, and visitors.
---
## 1. Acceptance and scope
These Terms of Service (the "Terms") govern your access to and use of the Graunt marketplace (the "Service") operated by Graunt, Inc., a Delaware corporation ("Graunt," "we"). By opening an account, accessing the Service, or acting on behalf of an account holder, you accept these Terms on behalf of yourself and, where applicable, the organization you act for.
If you are accepting these Terms on behalf of an organization, you represent that you are authorized to bind that organization.
**Related documents.** These Terms incorporate by reference:
- **Privacy Policy** — graunt.com/legal/privacy
- **Acceptable Use Policy ("AUP")** — graunt.com/legal/aup
- **Copyright / DMCA Policy** — graunt.com/dmca
- **Repeat Infringer Policy** — graunt.com/legal/repeat-infringer
- **Marketplace License (GRAUNT_STANDARD_V1)** — graunt.com/legal/marketplace-license (applies to content you acquire on the Service)
- **Buyer Terms** — graunt.com/legal/buyer-terms (apply when you pay for a listing)
- **Refund Policy** — graunt.com/legal/refund-policy
**For selling:** the **Seller Agreement** (graunt.com/legal/seller-agreement), which you accept before your first listing is created, governs the additional obligations and rights that apply when you sell. When you sell, both these Terms and the Seller Agreement apply; if they conflict on a matter specific to selling, the Seller Agreement governs.
## 2. Eligibility
The Service is offered to individuals and to organizations. You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use the Service. The Service is not directed to children under 13.
The Service is primarily offered in and from the United States. Use from other jurisdictions is at your own risk and subject to local law, including export controls, sanctions, and data-protection requirements.
## 3. Accounts
### 3.1 Opening an account
To transact on the Service you open an account, either as an individual or for an organization, and verify its email address. Every account can both buy and sell; there is no separate buyer or seller registration. Before your first listing is created you accept the Seller Agreement and make the seller rights attestation, and before you are paid you complete payout setup. Some activities require additional identity, tax, or credential information, which the Service asks for when you reach them.
### 3.2 Account security
You are responsible for:
- Maintaining the confidentiality of your account credentials (passwords, API keys, access passes and links, and session tokens).
- All activity occurring under your account, including activity by your agents, the assistants you connect, and your authorized users.
- Promptly notifying us of any suspected unauthorized access.
We are not liable for any loss or damage arising from your failure to comply with this section.
### 3.3 Accounts held for organizations
When an account is held for an organization, activity in it is the organization's activity. When we refer to "you," we mean both you individually and the organization on whose behalf you act, as context requires.
### 3.4 Agents
You may use autonomous software agents to operate on your behalf, including an AI assistant you connect to your account. Agent conduct binds you. Agent-initiated purchases are your purchases. Agent-initiated uploads are your uploads and are subject to all seller warranties. Your agent may also accept these Terms, the Seller Agreement, any other Graunt document listed in §5.1, and any amendment to them on your behalf through the Graunt API, including when it opens your account. An acceptance your agent makes binds you as if you had made it yourself.
## 4. The Service
The Service is a marketplace for data and other digital assets that people and AI systems can use. Graunt:
- Hosts listings created by sellers, and provides search, discovery, evaluation evidence, metadata, provenance, and previews for them. A paid listing shows a preview of its opening rows or text unless its seller turns that preview off.
- Receives payment for sellers and pays sellers out through Stripe Connect.
- Delivers what you acquire through downloads, the Graunt API, AI assistants you connect to your account, access passes, keys and links, and inline responses, as each listing describes.
- Collects sales tax on a purchase where the law requires Graunt to, and shows it to you before you pay.
Graunt is the marketplace, not the seller. The sale of a listing is between its seller and the buyer; Graunt facilitates and records the transaction and earns a commission on each paid sale. Graunt receives your payment as the seller's limited agent for receiving payment, so a payment you make to Graunt for a listing satisfies your obligation to pay its seller for that purchase.
Nothing on the Service constitutes legal, financial, tax, medical, engineering, or other professional advice.
## 5. Acceptance of agreements
### 5.1 Clickwrap
By opening an account, you affirmatively accept these Terms, the Privacy Policy, the AUP, and the electronic-records consent (§5.2), through the sign-up checkbox that names them. When your agent opens your account for you, it accepts them on your behalf by affirming that same checkbox sentence through the Graunt API (§3.4).
Further acceptances are captured at the action they govern:
- The Buyer Terms and Refund Policy — at checkout, through the notice displayed beside the payment action; the Held Purchase Authorization — at a held authorization.
- The Seller Agreement and the seller rights attestation — before your first listing is created.
- The AUP — re-accepted at each listing creation.
- The Referral & Commission Terms — when you create a referral link; the Contributor Earnings Terms — before Graunt pays you as a contributor.
- Where a listing carries the seller's additional terms, those terms — at checkout, against the exact version shown.
Your agent may make any of these acceptances for you through the Graunt API (§3.4).
Each acceptance is recorded against the authenticated account with the sentence displayed, the accepted document version and hash, a timestamp, IP address, and user-agent, so disputes can be adjudicated against the exact text that was shown. When your agent accepts for you, the record also identifies the agent and stores the sentence Graunt served to it. Where an account belongs to an organization, the acceptance binds the organization through the representative operating the account (§1).
### 5.2 Electronic signatures
The E-SIGN Act (15 U.S.C. §§ 7001 et seq.) and analogous state law permit contracts to be formed by electronic means. You consent to the use of electronic records and signatures for all agreements entered through the Service.
## 6. Purchases, subscriptions, refunds, and payments
Purchases on the Service are governed by the Refund Policy (graunt.com/legal/refund-policy). Purchases are final except for the narrow reversal grounds stated there. Fees and minimums in effect are returned dynamically by `GET /v1/meta/pricing` and are presented before you pay.
**Free listings.** A listing priced at zero is acquired without payment. What you acquire is governed by the Marketplace License and the rights recorded with the listing, as for a paid listing.
**Updates.** When a seller publishes an update to a listing you hold, you receive it at no additional charge, as the Buyer Terms describe.
**Subscriptions.** Some listings offer subscription access. Subscriptions renew automatically at the price and interval (monthly or annual) shown at checkout until canceled. You may cancel at any time from your account; cancellation takes effect at the end of the current billing period, and your access continues through that period end. Immediate revocation before period end is reserved for takedown, fraud, refund, rights revocation, or platform enforcement. The price, interval, current period, included access channels, and cancellation path are shown on the listing, at checkout, on your receipt, and in your library.
For buyer disputes that are not resolved under the Refund Policy, the dispute-resolution mechanism of §12 applies.
## 7. Content
### 7.1 Seller-uploaded content
Sellers retain all right, title, and interest in the content they upload, subject to the license they grant buyers at time of sale (GRAUNT_STANDARD_V1, graunt.com/legal/marketplace-license) and the license sellers grant the platform under the Seller Agreement for purposes of operating the Service.
### 7.2 Platform content
The platform's software, user interfaces, APIs, documentation, and curated content (aggregated statistics, seller guides, meta endpoints) are owned by us or licensed to us. Nothing in these Terms grants you any license to the platform's software or curated content except as necessary to use the Service as intended.
### 7.3 User-generated operational content
Support tickets, access-request messages, and similar communications you submit through the Service are licensed to us for the limited purpose of operating, supporting, and improving the Service.
## 8. Acceptable use
You agree to comply with the AUP. Violations of the AUP may result in strikes under the Repeat Infringer Policy, suspension, termination, and withholding of payouts where applicable.
## 9. Intellectual property claims
We respond to claims of copyright infringement under the Copyright / DMCA Policy (graunt.com/dmca), which identifies our designated copyright agent. We respond to other IP claims (trademark, trade secret, right of publicity, foreign copyright) via support@graunt.com.
## 10. Suspension and termination
### 10.1 Our rights
We may suspend or terminate your access to the Service at any time:
- For any breach of these Terms, the AUP, the Seller Agreement, or other incorporated documents.
- If continued access would expose the platform or third parties to legal, regulatory, or reputational risk.
- In response to valid legal process (court order, administrative order, etc.).
- For non-payment of amounts owed (if applicable).
- For prolonged inactivity, subject to the retention practices described in the Privacy Policy.
When you sell, you are additionally subject to the Repeat Infringer Policy's strike ladder.
### 10.2 Your rights
You may stop using the Service at any time, and you may close your account by writing to support@graunt.com from the email address on the account. Closing your account does not relieve you of obligations incurred before closure (payment for completed purchases, data-access obligations for pending deliveries, etc.).
### 10.3 Effect of termination
On termination:
- Your listings are taken off sale and archived.
- In-flight transactions are completed or refunded.
- Payouts owed to you (if any) are released subject to Seller Agreement hold-back provisions.
- Personal information is retained per the Privacy Policy; you may request deletion subject to legal-hold exceptions.
## 11. Disclaimers and limitation of liability
### 11.1 As-is
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY CONTENT ON THE SERVICE WILL BE ACCURATE, COMPLETE, OR FIT FOR A PARTICULAR PURPOSE.
### 11.2 No warranty as to content
We do not warrant the accuracy, completeness, legality, or fitness of content listed by sellers. Evaluation evidence and metadata are informational signals only, not guarantees. Seller warranties on uploaded content run from the seller to the buyer under the Marketplace License.
### 11.3 Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(a) IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(b) OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE, IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF (i) THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (ii) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. The limitations above apply to the maximum extent permitted by applicable law; where they cannot be fully enforced, they apply to the maximum extent permitted.
## 12. Dispute resolution
### 12.1 Initial resolution
Before filing any formal dispute, you agree to first attempt to resolve the matter informally by contacting us at support@graunt.com (subject line "Legal notice") and allowing us 30 days to respond.
### 12.2 Buyer disputes
Disputes by buyers concerning purchases (refunds, entitlement issues, delivery failures) are governed by the Refund Policy (graunt.com/legal/refund-policy) and resolved through the platform's internal process. Buyers retain any rights available under applicable consumer protection law notwithstanding these Terms.
### 12.3 Seller disputes
Disputes about selling, or between a seller and the platform, are governed by the dispute-resolution provisions of the Seller Agreement, which provide for **binding arbitration and a class-action waiver**. If you sell on the Service, see the Seller Agreement.
### 12.4 Other disputes
All other disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts. This does not apply to the arbitration-bound seller disputes under §12.3.
### 12.5 Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
## 13. Changes to these Terms
We may update these Terms from time to time. Material changes take effect **30 days** after notice (posted on this page at graunt.com/legal/terms with an updated version and date, and emailed to the address on record for each active account). Non-material changes take effect on publication. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
## 14. Miscellaneous
- **Entire agreement.** These Terms, together with the documents incorporated by reference, constitute the entire agreement between you and us regarding the Service, and supersede any prior agreement on the same subject.
- **Severability.** If any provision is held unenforceable, the remaining provisions continue in full force.
- **No waiver.** Our failure to enforce any right is not a waiver of that right.
- **Assignment.** You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
- **Notices.** Notices to you may be sent to the email address on your account. Notices to us must be sent to support@graunt.com with the subject line "Legal notice." Service of legal process on Graunt, Inc. may be made through its registered agent in the State of Delaware.
- **Force majeure.** Neither party is liable for failure to perform due to events beyond its reasonable control (natural disasters, government action, internet-service outages, etc.).

## Version History
| Version | Date | Changes |
|---------|------|---------|
| 0.1 | April 2026 | Initial version. Establishes platform-user ToS; incorporates related legal documents by reference; DE governing law; arbitration bifurcated to Seller Agreement; clickwrap acceptance recorded against the exact document text a user was shown. |
| 1.0 | July 8, 2026 | Finalized for launch (founder-approved). Entity named (Graunt, Inc., Delaware); document references converted to public URLs; subscription auto-renewal and cancellation terms added (§6); notice channel set to support@graunt.com + Delaware registered agent; evaluation-evidence vocabulary aligned with marketplace doctrine; internal build references removed. |
| 1.1 | August 20, 2026 | Process-description corrections only; no rights or obligations changed. §5.1 now lists the acceptance moments as the product actually captures them (Buyer Terms at checkout; Seller Agreement + rights attestation before the first listing) and states that records identify the authenticated account — not a separately identified natural person — with the displayed sentence stored verbatim. |
| 1.2 | August 28, 2026 | Internal identifiers removed from the published text: references naming Graunt's own decision and planning records, which identified nothing a reader could consult. Editing was confined to removing those references and, where one was a sentence's only subject, stating in plain words what the sentence described. Acceptances recorded against 1.1 remain pinned to the 1.1 text and its hash. |
| 1.3 | October 20, 2026 | Agents may accept for you. §3.4 now lets your agent accept these Terms, the Seller Agreement, the other documents listed in §5.1, and their amendments on your behalf through the Graunt API, including when it opens your account, and binds you to what it accepts. §5.1 describes the agent path and states that an agent's acceptance record identifies the agent. A non-material change: it adds a way to accept and imposes nothing unless you let an agent accept for you. Acceptances recorded against 1.2 remain pinned to the 1.2 text and its hash. |
| 1.4 | October 20, 2026 | One account that buys and sells, and the Service as it works today. §1, §2, §3, §13 and §14 describe an account held by a person or for an organization, with no separate buyer or seller registration, and §1 says the Seller Agreement is accepted before your first listing. §4 describes previews of paid listings, delivery through the API, connected assistants and access passes, and sales-tax collection where the law requires it, and states that Graunt receives payment as the seller's limited agent, so a payment to Graunt satisfies what you owe the seller. §5.1 lists every acceptance the Service records. §6 adds free listings and free updates for holders. §10.2 says how to close an account. A non-material change: it describes how the Service already works and adds no obligation. Acceptances recorded against 1.3 remain pinned to the 1.3 text and its hash. |
