This Seller Agreement governs your sale of packets on Graunt, a marketplace for source-backed, rights-aware, machine-usable data packets and access products. It applies in addition to the Terms of Service and the Acceptable Use Policy. By creating a seller account, submitting a listing, or receiving a payout, you agree to this Agreement. If you sell on behalf of an organization, you agree on its behalf and confirm you are authorized to do so. Graunt is currently available to users in the United States only.

Your relationship with Graunt

You sell through Graunt as an independent party. Graunt provides the marketplace, evaluation surfacing, payment processing, and delivery infrastructure; Graunt is not the author, publisher, or co-seller of your packets, and is not the principal seller of what you list. Nothing in this Agreement creates an employment, partnership, agency, or joint-venture relationship between you and Graunt.

Rights and accuracy you promise

For everything you list, you represent and warrant that you hold the rights necessary to sell it and to grant the rights buyers receive; that the rights, provenance, license terms, and metadata you declare are accurate and complete; and that your listing does not infringe or misappropriate anyone else's intellectual-property, privacy, contract, or other rights. You are responsible for honoring the rights you grant. You will not list material you lack the rights to distribute, and you will keep your declared rights and provenance current.

Licenses you grant

When a buyer purchases your packet, you grant that buyer the Marketplace License (GRAUNT_STANDARD_V1) for the content, scoped to the rights snapshot recorded with the buyer's entitlement. You also grant Graunt a non-exclusive license to host, store, evaluate, index, generate manifests and previews for, transmit, and deliver your packet solely to operate, secure, and promote the marketplace and to fulfill buyer entitlements. You retain ownership of your content, subject to the licenses you grant.

Listing review

Every listing passes marketplace review before it becomes available for purchase. Review checks the declared evidence and policy compliance; it is not a guarantee of legal sufficiency, factual truth, rights validity, or downstream utility, and it does not transfer any of your responsibilities to Graunt. Graunt may decline, pause, change the status of, take down, or require changes to a listing, and may restrict or suspend a seller account, to enforce its policies, address suspected infringement or fraud, or protect the marketplace.

Pricing and payouts

You set your packet price in U.S. dollars. On each sale Graunt retains the platform commission (the current standard default is 25%) and you receive the remainder as your seller net; the exact commission applied to a purchase is recorded with that purchase. Payouts are made through Stripe Connect to the payout account you connect and verify; you are responsible for keeping that account accurate. New-seller payouts may be held for a short period before release. Graunt does not charge sellers a separate payout fee and absorbs the standard payout-processing cost from commission.

Taxes

You are responsible for determining, collecting where required, reporting, and remitting any taxes arising from your sales, and for your own income-tax obligations. You are not Graunt's employee. Where the law requires, Graunt or its payment processor may collect tax information from you and issue tax forms (for example a Form 1099) reflecting amounts paid to you. Keeping your tax and payout information accurate is your responsibility.

Refunds, reversals, and chargebacks

Purchases are final except for the narrow reversal grounds in the Refund policy (rights failure, fraud or unauthorized sale, or technical delivery failure). When a sale you made is refunded, reversed, or charged back on those grounds, the corresponding amount — including your seller net — may be debited or withheld from your balance or future payouts. You are responsible for reversals and chargebacks attributable to your listings, including those arising from a rights failure or misrepresentation in what you sold.

Your indemnity

You will defend, indemnify, and hold harmless Graunt and its affiliates from third-party claims, losses, and expenses arising out of your listings, your content, your breach of this Agreement or your representations, or your violation of any law or third-party right — including intellectual-property, privacy, and rights claims relating to what you sold. This obligation survives the end of this Agreement and the closure of your account.

Suspension and termination

You may stop selling and close your seller account at any time; amounts already owed to you, and obligations already incurred, survive closure. Graunt may suspend or terminate your seller access for violation of this Agreement, the Terms, or the Acceptable Use Policy, for suspected fraud or rights violations, or to protect the marketplace. Sections covering rights and accuracy, licenses already granted to buyers, refunds and chargebacks, taxes, indemnity, and limitation of liability survive termination.

Disclaimers and limitation of liability

The marketplace is provided "as is" and "as available." To the maximum extent permitted by law, Graunt disclaims implied warranties in connection with the seller services, and Graunt's aggregate liability arising out of or relating to this Agreement is limited to the commission Graunt retained on the transactions giving rise to the claim. Graunt does not warrant any particular sales volume, payout timing beyond what these terms describe, or marketplace outcome.

Changes and governing law

Graunt may update this Agreement; material changes will be reflected on this page and, where appropriate, surfaced in the product. Where an update requires renewed acceptance, Graunt may ask you to accept the updated Agreement before your next listing submission, sale, payout action, or other gated seller action; continued selling after a change otherwise means you accept the updated Agreement. This Agreement is governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-laws rules, except to the extent your local non-waivable consumer, privacy, payment, or other statutory rights apply.
