Marketplace License: content modules
A module is part of the Marketplace License for content of its kind: video and people on camera, audio and voice, images, personal information, text and documents, code, and structured and tabular data. It applies to the content of its kind in every listing, whether or not an Order License lists it, and where it is more specific than the License it governs for that content. An Order License attaches the modules its lines need and records each one's version and hash.
Module A: Video and people on camera
1. What this module covers
This module applies to every listing whose content is video, to the frames, stills and soundtrack of that video, and to any content of another kind that shows or records people who can be identified. It adds to the Marketplace License; where it is more specific, it governs for this content. Words have the meanings the Marketplace License gives them.
2. What you may do with video
Where the listing allows model training, you may decode, sample, crop, resize, caption, label, segment, embed and annotate the video, extract frames and clips from it, and use all of it, in whole or in part, for the purposes §2 of the Marketplace License names. Annotations, captions, embeddings and other derived data you make are yours, except to the extent they reproduce a recognizable portion of the content. You may generate synthetic video with models trained on the content unless the listing excludes synthetic data, and generated video may not depict a particular person shown in the content. You may detect faces in the content to blur, crop, count or exclude them, if you create and keep no measurement of a face that can identify a person and never compare a face across files; any other processing of face geometry needs a listing that declares Evidence on file with releases that consent to it in writing.
The soundtrack is licensed with the video unless the listing says no audio, and the audio and voice module applies to it. Where the listing says no audio, you strip the soundtrack or do not use it.
A listing priced by the hour sells the hours it states; the frames and clips you receive are what you bought, and an update of the listing does not add hours to your purchase.
3. No media use
The Marketplace License grants no media use of video: you do not publish, broadcast, stream, display to the public, sell or distribute the content, its stills or its sound, or any recognizable portion of them, and you do not use a model to output them, unless the listing grants public use and then only to the extent it names. Where the listing grants public use, §3 and §7 of the Marketplace License say what public use never allows: the content stays inside what you made, editorial use keeps its meaning, and no person is shown in an offensive, embarrassing or endorsing way. Your staff and contractors may view the content to prepare, label, select and evaluate it. A preview clip or sample is licensed for evaluation only.
4. People on camera
A listing whose content shows or records people who can be identified states their release status, as its seller declares it: Evidence on file, Seller attested, or Incomplete. Where the status is Incomplete, the people without a release appear only incidentally, such as passersby, and every person who is a subject of the content has signed one. An identifiable person under 18 appears only in a listing that declares Evidence on file, with a release signed by that person's parent or guardian. You do not use content that shows a person under 18 to make sexual or intimate content of any kind, or a digital replica of them, and the personal-information module's rules for children's data apply.
A release collected on Graunt lets the seller license footage that shows the person for building and testing AI systems that learn from many people, non-exclusively, worldwide and without time limit, under the Marketplace License, with the uses no listing permits barred. A release covers use by your client under §6 of the Marketplace License where the listing allows a client. It grants no right to make a digital replica of the person, to simulate their voice or likeness, or to use their image or voice in advertising, and no listing term can add one. It is not consent to any use this module bars, and no public use the listing grants reaches a person beyond what that person's release covers.
What a release records. Evidence on file means that the seller holds, for each identifiable person, a signed release that names the person, is dated, identifies the recordings it covers, and grants the uses the Marketplace License grants, including training and testing AI models, and that links the person to the files that show them. A release for a person under 18 is signed by a parent or guardian, and also by the minor where the law gives the minor that decision; it says that the footage is licensed to buyers through Graunt to build and test AI systems, takes that consent separately from consent to the recording, states how long the footage is kept, and tells the parent how to withdraw consent and ask for deletion. Where footage of a child under 13 was collected through a website or online service, the seller obtained the parent's consent by a method the United States children's online privacy rule accepts.
What you may not do with people. Whatever the listing allows, you do not use the content to reproduce, imitate or simulate a person's face, body or voice, to clone their voice, or to make a digital replica or deepfake of them, and you do not make, tune or distribute a model, tool or feature whose primary purpose is to produce a particular person's likeness or voice; you do not use it to impersonate anyone or to make intimate content of anyone; and you do not use it to recognize or identify a person, to build, train or deploy a system that identifies a specific individual, to build or improve face recognition or other biometric identification, or to create face-geometry templates, voiceprints or other biometric identifiers. You do not build, train or deploy a system that sorts people by race or ethnicity, health, sex life or sexual orientation, religion or beliefs, political opinions or union membership from their face, body or voice, or that reads a particular person's emotions to monitor or assess them, and you do not try to contact, locate, track or profile anyone shown. You do not label the content with the names or identities of the people shown. Training a model on the content, so that it learns from many people, is not identifying any one of them; a model or feature that identifies, recognizes or reproduces a particular person is barred. If you nonetheless derive a biometric identifier from the content, you are its collector under the laws that apply, every duty those laws impose is yours, and you indemnify the seller for it.
When a person withdraws consent. §7 of the Marketplace License says what you do when a person shown in the content, or a parent or guardian for a child, withdraws consent: the files that show them leave every use you start after Graunt tells you, and a model trained before then stays yours unless the law requires otherwise.
The personal-information module applies to content that shows or records people.
5. Clip-level terms
Where a listing's manifest records terms for a particular clip, such as an excluded subject, a lower clearance status, or people shown only in that clip, those terms apply to that clip, and the listing's terms apply to the rest.
6. Clearances the seller declares
A listing states, as its seller declares, the clearance of third-party marks and logos, music and audio, events and venues, and private property that appear in the content. Where a clearance is declared as not all cleared, you use the content for the purposes the listing allows, and the Enterprise and Video License Addendum says what the seller does not warrant for that material. Marks and logos in the content are not licensed as marks. Where the content records a performance given under a union or guild agreement, the listing says so, and the Addendum says what the seller has done about that agreement; you owe nothing under it.
7. AI-generated content and the seller's warranties
Each listing states, as its seller declares, whether its content is AI-generated: not AI-generated, partly AI-generated, or wholly AI-generated. A listing of video is real footage; edited, captioned or labeled footage is not AI-generated, and footage a model made or extended is not sold as video on Graunt. The Enterprise and Video License Addendum (graunt.com/legal/enterprise-video-addendum) sets out the seller's warranties and indemnity on every purchase of a video listing and every purchase that names a client.
Module B: Audio and voice
1. What this module covers
This module applies to every listing whose content is audio, and to the soundtrack of video. It adds to the Marketplace License; where it is more specific, it governs for this content. Words have the meanings the Marketplace License gives them.
2. What you may do with audio
Where the listing allows model training, you may decode, resample, segment, transcribe, align, label, embed and annotate the audio and use all of it, in whole or in part, for the purposes §2 of the Marketplace License names, including training speech recognition, audio understanding, text-to-speech and audio generation models. Transcripts, alignments, embeddings and other derived data you make are yours, except to the extent they reproduce a recognizable portion of the content; a transcript of speech in the content is the content.
3. Voices
Where the content records people's voices, you do not use it to clone a person's voice, to synthesize a particular speaker's voice, or to make a model or feature that reproduces a particular speaker; you do not use it to identify a speaker, to build speaker recognition, or to create voiceprints or other biometric identifiers; and you do not label the content with the names or identities of the people speaking. Training a general speech or audio model on many voices is not any of these. A text-to-speech or voice model trained on the content may not be tuned, prompted or offered to reproduce a particular speaker in it. Nor do you use the content to build, train or deploy a system that sorts speakers by race or ethnicity, health, sex life or sexual orientation, religion or beliefs, political opinions or union membership from their voice, or that reads a particular speaker's emotions to monitor or assess them, and you do not try to contact, locate, track or profile anyone recorded.
The release status a listing declares for the people recorded, what a release covers and records, and what you do when a person withdraws consent, are as the video and people-on-camera module and §7 of the Marketplace License describe. The personal-information module applies to speech that holds personal information.
4. Music and recordings
A listing states, as its seller declares, the clearance of music and audio in the content. Music and recordings are licensed for the purposes the listing allows and for no media use: you do not publish, stream, distribute or publicly perform them, or any recognizable portion of them, and you do not use a model to output them, unless the listing grants public use and then only to the extent it names. A model that outputs a recognizable recording or composition from the content reproduces it, and §2 of the Marketplace License says what follows. Where a listing grants public use of music, any public-performance or other license a collecting society requires for that use is yours to obtain, unless the listing says the music carries no such fees, and you file any cue sheets that society's rules require. You do not register the music or the recordings, or claim them in a content-identification system, and you do not collect money for them, as §10 of the Marketplace License says.
5. No media use
The Marketplace License grants no media use of audio unless the listing grants public use. Your staff and contractors may listen to the content to prepare, label, select and evaluate it.
Module C: Images
1. What this module covers
This module applies to every listing whose content is images, and to frames and stills extracted from video. It adds to the Marketplace License; where it is more specific, it governs for this content. Words have the meanings the Marketplace License gives them.
2. What you may do with images
Where the listing allows model training, you may decode, resize, crop, augment, caption, label, segment, embed and annotate the images and use all of them, in whole or in part, for the purposes §2 of the Marketplace License names, including training image understanding, image generation and multimodal models. Captions, labels, embeddings and other derived data you make are yours, except to the extent they reproduce a recognizable portion of the content. You may generate synthetic images with models trained on the content unless the listing excludes synthetic data, and a generated image may not depict a particular person shown in the content or reproduce an image of the content.
3. No media use
The Marketplace License grants no media use of images: you do not publish, display to the public, sell, distribute or license the images, or any recognizable portion of them, and you do not use a model to output them, unless the listing grants public use and then only to the extent it names. Thumbnails and contact sheets you make to review the content internally are internal use. A sample is licensed for evaluation only.
4. People in images
The video and people-on-camera module's rules for people apply to people shown in images: the release status the listing declares, what a release covers, and the uses no listing permits. You do not use the content to reproduce, imitate or simulate a person's face or body, to make a digital replica or deepfake of them, to recognize or identify a person, or to create face-geometry templates or other biometric identifiers, and you do not label the content with the names or identities of the people shown. The rules of §7 of the Marketplace License on sorting people by sensitive traits, reading their emotions, contacting or tracking them, how a person may be shown in public use, and what happens when a person withdraws consent apply to images as to video, and so does the video module's rule on detecting faces only to blur, crop, count or exclude them. The personal-information module applies to content that shows people.
5. Marks, works and property
A listing states, as its seller declares, the clearance of third-party marks and logos, works of art and other third-party works, and private property that appear in the content. Marks and logos in the content are not licensed as marks. Where the listing names an excluded brand or subject, you exclude the images that show it from training and take reasonable steps so that your models do not generate it.
6. Provenance
You keep the provenance and rights information that travels with the images, including content credentials and metadata, with your copy, as §10 of the Marketplace License says.
Module D: Personal information
1. What this module covers
This module applies to every listing whose content contains personal information, as the listing's recorded rights declare it, including content that shows or records people. It adds to §8 of the Marketplace License; where it is more specific, it governs for this content. Words have the meanings the Marketplace License gives them, and "personal information" has the meaning the privacy laws that apply to you give it.
2. Roles
For the personal information in the content, the seller and you are each a separate controller, or business, under the laws that apply. The seller makes the information available to you for the purposes recorded with your entitlement; you decide how you use it within those purposes, and neither of you processes it on the other's behalf. Where the content came to the seller from the people it describes, the seller is responsible for the consent and notice the law required of it when it collected and recorded the content, and the Enterprise and Video License Addendum says what the seller warrants about that on the sales it covers.
3. The purposes, and no further sale
The seller sells or discloses the personal information to you only for the limited and specified purposes recorded with your entitlement: the purposes §2 of the Marketplace License names that the listing allows. You use it only for those purposes. You do not sell the personal information, share it for cross-context behavioral advertising, or disclose it to anyone except your affiliates, staff and contractors under §5 of the Marketplace License, and your client under §6 where the listing allows one, each for the same purposes.
Decisions about people. You do not use the content as a factor in deciding whether a person is eligible for credit, insurance, employment, housing or a government benefit. The content is not a consumer report, and neither the seller nor Graunt provides it for that purpose.
4. Your duties
- You comply with the privacy and data-protection laws that apply to you, and you give the personal information at least the level of privacy protection those laws require of the seller.
- You keep the personal information under reasonable technical and organizational security, limit access to the people and systems that need it, and tell the seller, through Graunt at support@graunt.com, without undue delay of a breach of that security affecting it.
- You tell the seller, through Graunt, if you can no longer meet these obligations.
- You let the seller, on notice through Graunt, take reasonable steps to make sure you use the information in line with these obligations, and to stop and remedy any use that is not.
- Where a person asks the seller, or asks Graunt, to exercise a right the law gives them over information in the content, and the request reaches you through Graunt, you act on it within 30 days as the law requires of you, and you tell Graunt what you did.
- Where the law requires you to tell the people described in the content that you hold it, or to have a lawful basis for processing it, you do so on your own account; the seller's disclosures do not stand in for yours.
- Where you transfer the personal information outside the country it came from, you meet the conditions the law sets for that transfer. Where the law requires a transfer mechanism, such as the standard contractual clauses the European Commission or the United Kingdom has approved for transfers between controllers, you and the seller put it in place before the transfer, and Graunt passes the documents between you.
- You keep the personal information only as long as your purposes for it need, you keep a record of your processing as the law requires of you, and you delete the personal information when the Marketplace License ends if that comes first, as §10 of the Marketplace License says.
- A model that can output a person's personal information from the content holds that information, and your duties under this module apply to it.
5. No re-identification
You do not try to identify a person whose details were removed from the content or replaced with placeholders, and you do not combine the content with other data to identify anyone in it. A listing marked as having its personal details removed is not anonymous: the seller removed the identifiers it found, placeholders stand for the people and companies it replaced, and you treat what remains as personal information.
6. What the content never contains
The content does not contain biometric identifiers or templates, health information protected by law, genetic data, consumer reports, government identifiers, full payment or bank account numbers, account log-in credentials together with the password or code that opens the account, bulk identity records, records that set out a person's citizenship or immigration status, records that set out a person's racial or ethnic origin, religious or philosophical beliefs, political opinions, union membership, sex life or sexual orientation other than as §7 allows, or personal information about anyone under 16 other than people on camera listed as the video and people-on-camera module allows. What can be seen or heard of a person on camera or on a recording is governed by the video and audio modules, not by this list. If you find any of these in the content, you do not use them and you tell Graunt.
Precise location and private messages. A listing declares when its content holds precise location, such as GPS data recorded with footage, or the contents of private messages, such as a company's workplace email. You treat that information as sensitive personal information under the laws that apply to you, you use it only for the purposes recorded with your entitlement, and you do not use it to find, follow or contact anyone.
7. Special categories
A listing states, as its seller declares, whether its content reveals a person's health, racial or ethnic origin, religious or philosophical beliefs, political opinions, trade-union membership, sex life or sexual orientation. Where it does and the GDPR or a law like it governs that information, the seller holds each person's explicit consent for the uses the Marketplace License grants, and you use that information only as the law allows you.
8. People on camera and on recordings
The video and people-on-camera module and the audio and voice module say what you may and may not do with content that shows or records people, including the uses no listing permits, and §7 of the Marketplace License says what you do when a person withdraws consent. Nothing in a release lets you identify a person, build biometric identification, or reproduce a person's likeness or voice.
Module E: Text and documents
1. What this module covers
This module applies to every listing whose content is text or documents, and to the transcripts, captions and other text derived from content of another kind. It adds to the Marketplace License; where it is more specific, it governs for this content. Words have the meanings the Marketplace License gives them.
2. What you may do with text
Where the listing allows model training, you may parse, clean, segment, tokenize, translate, summarize, label, embed and index the text and use all of it, in whole or in part, for the purposes §2 of the Marketplace License names. Summaries, labels, embeddings and other derived data you make are yours, except to the extent they reproduce a recognizable portion of the content; a translation of the content is the content. Facts, ideas and methods in the text are not licensed, because they are not the seller's to license; the expression is.
3. Retrieval and what a system may show
You may index and store the text in retrieval, grounding and search systems you run. A system that answers the people who use it may show them short excerpts of the text where the listing allows or requires citation, no longer than the answer needs and never a substantial portion of a document, with a citation to the listing by the seller's public name and the listing's title, or to the source the listing cites. Where the listing excludes retrieval display, the system uses the text to find and ground answers but shows none of it. A system that shows text only to your own staff and contractors, under a duty of confidentiality, is internal use.
4. Reproduction
You do not republish, repost, distribute or display the text, or any substantial portion of a document in it, except as section 3 allows or where the listing grants public use. A model that reproduces long passages of the content systematically is reproducing it; §2 of the Marketplace License's safe harbor covers accidental, non-systematic reproduction that you limit, take down and fix.
5. Public records and open licenses
Where the text is in the public domain, is a government work, or is offered under a public license, that status travels with the copy you obtain through Graunt: the Marketplace License adds no restriction to what the public domain or that license lets you do with the text, whether you obtained it here or elsewhere, and where that license is more permissive than the Marketplace License it governs the text; the listing's recorded rights say what the seller's own arrangement, selection or additions add. §7 and §8 of the Marketplace License and the personal-information module apply in every case.
6. Personal information and confidential material
The personal-information module applies to text that holds personal information, including a company's workplace records with placeholders in place of the people named. Where the listing says the text is confidential or was a company's internal record, you keep it under the security §10 of the Marketplace License requires and do not disclose it beyond the people the Marketplace License allows.
Module F: Code
1. What this module covers
This module applies to every listing whose content is code or a company's engineering archive. It adds to the Marketplace License; where it is more specific, it governs for this content. Words have the meanings the Marketplace License gives them.
2. What you may do with code
Where the listing allows model training, you may parse, index, label, embed and transform the code and use all of it, in whole or in part, for the purposes §2 of the Marketplace License names, including training models that understand, generate, complete, review and repair code. You may build, run and test the code to prepare and evaluate it. Models you train and the code they generate are yours; code a model generates that reproduces a substantial portion of a particular file in the content is reproducing it, and §2 of the Marketplace License's safe harbor and section 4 below say what follows.
3. Open-source and third-party components
Where the content includes components under open-source or other third-party licenses, those licenses govern those components, and the seller grants you only what it holds. A component's license governs where it is more permissive than the Marketplace License, and its conditions, such as attribution, notice and source-availability terms, apply where you reproduce or distribute that component. You keep the license and notice files that travel with the content with your copy. The listing names every license that governs a component of the content, and no component is under terms that would require you to release your own code, models or weights, or let others copy them, except a component the listing names as under such terms.
4. What the License does not grant
The Marketplace License grants no right to run the software the code implements as a product, to distribute, sell or offer the software or a substantial portion of its code, or to build a product that substitutes for the seller's software from its code. Where a model reproduces a substantial portion of a particular file, you do not distribute that reproduction, and you give it the attribution its license requires if you keep it. A retrieval system or coding assistant you run may show the people who use it a few lines of code where an answer needs them, never a material part of a file or enough of it to rebuild the file (§2 of the Marketplace License).
5. Secrets, credentials and confidential material
The content holds no live secrets, credentials or keys; if you find any, you do not use them, you delete them, and you tell Graunt at support@graunt.com. The code and records are confidential: you keep them under the security §10 of the Marketplace License requires and do not disclose them beyond the people the Marketplace License allows. The personal-information module applies to records that hold personal information, including a company's workplace records with placeholders in place of the people named.
Module G: Structured and tabular data
1. What this module covers
This module applies to every listing whose content is structured or tabular data, and to the records a buyer acquires from a data pool. It adds to the Marketplace License; where it is more specific, it governs for this content. Words have the meanings the Marketplace License gives them.
2. What you may do with the data
Where the listing allows model training, you may load, clean, join, aggregate, label, embed and transform the data and use all of it, in whole or in part, for the purposes §2 of the Marketplace License names, including training, fine-tuning, evaluation, retrieval and analysis. Statistics, aggregates, features, labels and models you derive are yours; a derived table that is substantially the content, or a recognizable portion of it, is the content.
3. Database rights and reproduction
The seller, or its licensor, holds the copyright and any database right in the content as a collection. You do not republish, redistribute or make available the content, or a substantial portion of it, as a collection, and you do not offer it, or a product built to substitute for it, to others (§10 of the Marketplace License). A system that answers the people who use it may show them a value, or a few rows or records, where an answer needs them, never a material part of the content or enough of it to rebuild a table (§2 of the Marketplace License). Individual facts and values in the data are not licensed, because they are not the seller's to license.
4. Records about people and companies
The personal-information module applies to records that hold personal information. Where a listing's personal details were removed or replaced with placeholders, you do not try to identify the people or companies the placeholders stand for. Where a data pool identifies the businesses that contributed records by a reference rather than a name, you do not try to identify them, and you use their records only for the purposes the pool's listing allows. You do not use records about people as a factor in deciding whether a person is eligible for credit, insurance, employment, housing or a government benefit (personal-information module §3).
5. Accuracy and decisions
The seller declares what the data is and where it came from, and the Enterprise and Video License Addendum says what the seller warrants on the sales it covers; neither the seller nor Graunt warrants that the data is accurate or complete beyond the evidence the listing declares (§12 of the Marketplace License). You are responsible for the decisions you make and the systems you build with it.
6. Editions and updates
An edition or update of the data the seller publishes is covered as §4 of the Marketplace License says. Rolling data sold by subscription follows the listing's current version for the subscription period.
